These terms and conditions (“Investment Ts&Cs”) created for and on behalf of Mahila Money Private Limited (hereinafter referred to as “Mahila Money”, “we”, “us”, “our” which expression(s) shall include its subsidiaries, affiliates, and its holding company, as the case may be) and made available on the website and/or application of Mahila Money (“Platform”) for registered users of Mahila Money (“Users”, you” or “your”).

These Investment Ts&Cs are a legal agreement between you and Mahila Money, for the use of the Platform to avail an investing facility in the form of peer-to-peer lending (“Investment Product”) where Users can lend directly to other individuals, in partnership with a licensed non-banking financial company (“Rupee Circle”). You represent and agree that you have the capacity and authority to bind yourself to the terms of these Investment Ts&Cs and agree to be bound by the terms mentioned herewith.

Mahila Money reserves the right to cancel or amend the Investment Ts&Cs at any time without prior notice.

Mahila Money and Rupee Circle may each be referred to individually as a “Party” and collectively as the “Parties.”

Definitions

“Investment Product” means the investing facility issued by Rupee Circle, governed by Rupee Circle’s Terms, and made available to you via the Platform subject to these Investment Ts&Cs.

“Rupee Circle” means Fintelligence Data Science Private Limited, being the provider of the Investment Product.

“Mahila Money", we”, “us”, “our” shall mean Mahila Money Private Limited which expression(s) shall include its subsidiaries, affiliates, and its holding company, as the case may be.

"Platform” shall mean the website and/or application of Mahila Money, via which the Investment Product has been made available to you, and via which you have successfully applied for a loan.

“Rupee Circle's Terms” means the terms of Rupee Circle are available at https://www.rupeecircle.com/terms and https://www.rupeecircle.com/privacy-policy governing the Investment Product, as amended from time to time at the discretion of Rupee Circle.

“User”, you” or “your” shall mean you as a customer of the Platform to whom the Investment Product has been offered by Mahila Money.

Eligibility

1. The Investment Product is not available to persons under the age of 18 (eighteen) and above 60 (sixty).
2. The User shall use her or their real name for the purpose of availing services pertaining to the Investment Product.
3. Rupee Circle may require the User to present or submit documentary evidence confirming her or their real name, such as a resident registration card or business registration certificate or other necessary documentary evidence in order to confirm the User's real name, and for the said purpose the User shall comply therewith.
4. You shall not impersonate any person or entity, or falsely state or otherwise misrepresent your identity, age, details or affiliation with any person or entity.
5. Before you enter into a contract for availing any investing facility, you have a duty under the law to disclose every matter that you know or could reasonably be expected to know as required under applicable law. Please consult with Rupee Circle if you already have ongoing peer-to-peer lending investments.
6. If you fail to comply with your duty of disclosure, Rupee Circle may be entitled to repudiate the contract. If your non-disclosure was fraudulent, Rupee Circle may also have the option of voiding the contract from the beginning (i.e., treating it as if it never existed).
7. Information regarding the full extent of your duty of disclosure is contained in your terms wording and should be read carefully at any point in your investment transaction including when your terms are renewed, extended, varied or reinstated.
8. Every contract of investment is subject to the doctrine of utmost good faith, which requires that the parties to the contract should act toward each other with the utmost good faith. Failure to do so on your part may prejudice any payment or the continuation of interest to be provided by Rupee Circle.
9. You acknowledge and undertake that you are subscribing to the Investment Product and transacting at your own risk and are using your best and prudent judgment before doing so.

Details of Investment Product

PROVISIONS	INTEREST OFFERED
Minimum investment - INR 3,000 (Indian Rupees Three Thousand) Maximum Investment - INR 10,00,000 (Indian Rupees Ten Lakhs) The minimum tenure for the investment shall be 3 (three) months and the maximum tenure shall be 12 (twelve) months.	9.00% (nine percent)

The above summary is indicative only and remains subject to Rupee Circle's Terms and any changes made thereto by Rupee Circle. Please be aware that Rupee Circle's Terms may be updated in line with Rupee Circle's requirements and applicable law from time to time.

Other Terms and Conditions

1. All terms of the Investment Product, including those relating to payments, interest, exclusions, and deductibles are covered in Rupee Circle's Terms. Please rely on Rupee Circle's Terms for complete and final information in this respect. For further clarification regarding the risk profile of the Investment Product, Users are encouraged to directly consult with Rupee Circle.
2. The Investment Product and any payments made there under shall be subject to these Investment Ts&Cs and Rupee Circle's Terms, along with the terms and conditions and privacy policy available on the Platform.

Communication Terms

By accepting the Investment Ts&Cs, you accept the following:

1. You agree that Mahila Money and Rupee Circle may contact you via phone call, SMS, or email as and when required during reasonable hours.
2. You are and shall be personally bound and liable under the terms of these Investment Ts&Cs and you agree to indemnify Mahila Money with respect to any payments, losses, expenses (including, without limitation, legal expenses), damages, or other liability (collectively, “payments”) arising or resulting from the violation of these Investment Ts&Cs. Mahila Money shall not have any liability for any payments arising or resulting from reliance on any representation, warranty, agreement, instruction, notice or communication received from you whether on your own behalf or on behalf of such entity.
3. Mahila Money and Rupee Circle shall each have access to such data as arises out of your use of the Investment Product and you explicitly consent to the collection, storage, and handling of such data by Mahila Money and Rupee Circle in line with applicable law.

Miscellaneous

1. Mahila Money may upon notice and without liability to any party:
   1. vary these Investment Ts&Cs or discontinue the collaboration with Rupee Circle; or
   2. substitute, withdraw, modify or cancel any Investment Product without disclosing any reason and without any payment or compensation to any User whatsoever.
2. Mahila Money provides a platform for the distribution of various financial products and services and ties up with regulated financial partners to this end. The Investment Product is not offered by Mahila Money itself. Thus, Mahila Money makes no warranty or representation as to the quality or merchantability of Rupee Circle's Investment Product. Mahila Money shall neither be liable nor responsible for any actions or inactions of Rupee Circle nor any breach of conditions, representations or warranties by Rupee Circle and hereby expressly disclaims any and all responsibility and liability in that regard. Any dispute about the Investment Product same must be resolved directly with Rupee Circle.
3. In the event there is any conflict between the terms set out in Investment Ts&Cs, the privacy policy, and Rupee Circle's Terms, the following order of prevalence shall apply: (i) Rupee Circle's Terms, (ii) Investment Ts&Cs, and (iii) the privacy policy.
